1. Acceptance of Terms

By accessing and using Chem-Exchange ("the Platform"), operated by RightPath Medical Diagnostics, LLC ("the Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. Description of Service

Chem-Exchange is a business-to-business (B2B) online marketplace that connects chemical suppliers with buyers. The Platform facilitates the listing, discovery, and communication between parties but does not directly participate in transactions between buyers and sellers.

3. User Accounts

To use certain features of the Platform, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

4. Seller Obligations

If you use the Platform as a seller, you agree to:

  • Provide accurate and complete information about all listed chemicals
  • Only list virgin, unopened materials with valid documentation
  • Provide Safety Data Sheets (SDS) and Certificates of Analysis (COA) when required
  • Comply with all applicable laws and regulations regarding the sale and transport of chemicals
  • Maintain appropriate licenses, permits, and insurance for chemical sales
  • Respond promptly to buyer inquiries

5. Buyer Obligations

If you use the Platform as a buyer, you agree to:

  • Use the Platform solely for legitimate business purposes
  • Comply with all applicable laws regarding the purchase and handling of chemicals
  • Maintain appropriate licenses and permits for chemical procurement
  • Conduct due diligence on sellers before completing transactions

6. Virgin Materials Policy

Chem-Exchange exclusively facilitates the sale of virgin, unopened chemical materials. All chemicals listed on the Platform must be in their original, sealed packaging from the manufacturer. Reclaimed, recycled, repackaged, or previously opened materials are strictly prohibited. Violation of this policy will result in immediate removal of listings and potential account suspension.

7. Subscription and Payments

Certain features require a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your chosen subscription plan
  • Provide valid payment information
  • Accept automatic renewal unless cancelled before the renewal date
  • Acknowledge that subscription fees are non-refundable except as required by law

Free trials are available for new subscribers. You will not be charged until the trial period ends. You may cancel at any time during the trial without incurring charges.

8. Intellectual Property

All content, trademarks, and intellectual property on the Platform are owned by RightPath Medical Diagnostics, LLC or its licensors. You may not copy, reproduce, distribute, or create derivative works from any content on the Platform without prior written consent.

9. Limitation of Liability

The Platform is provided "as is" without warranties of any kind. RightPath Medical Diagnostics, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. We do not guarantee the accuracy of listings, the quality of chemicals, or the reliability of any user on the Platform.

10. Dispute Resolution

Any disputes arising from the use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where RightPath Medical Diagnostics, LLC is headquartered. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

11. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect.

12. Changes to Terms

We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms. We will notify registered users of material changes via email.
